EULA between licensee and subcontrators

If the licensee temporarily transfers the license to a subcontractor, the subcontractor is considered as a licensed user and agrees to the terms of the EULA. If the subcontractor fails to comply with the terms (e.g., retaining a copy of the Typeface once the work is completed), Mostardesign Type Foundry can seek recourse and can sue for damages. The license to use the font(s) can be revoked.

What can happen if I break EULA?

What is an EULA ?

An EULA stands for End-User License Agreement. It is a legal contract between the foundry or vendor and the end user of the software. The EULA outlines the terms and conditions under which the font(s) can be used. The purpose of an EULA is to establish the rights and restrictions associated with the font(s) being licensed. It typically covers important aspects such as:

  • License Grant: It specifies the rights granted to the end user, such as the right to install and use the font(s) on a specific number of devices or for a limited period of time.

  • Usage Restrictions: The EULA may include restrictions on how the font(s) can be used, such as prohibiting reverse engineering, modifying, or redistributing the font(s).

  • Intellectual Property Rights: It clarifies the ownership of the font(s) and any associated intellectual property rights. It may include provisions protecting copyrights, trademarks, and patents.

  • Warranty and Liability: The EULA may address disclaimers of warranties, limitations of liability, and indemnification clauses, which define the extent to which the foundry or vendor is responsible for any issues arising from the use of the font(s).

  • Termination: It specifies the conditions under which the license can be terminated, such as breach of the agreement or non-payment of fees.

  • User Obligations: The EULA may outline certain responsibilities of the end user, such as maintaining the confidentiality of any access credentials or complying with applicable laws and regulations.
